Notice of meeting
 
(Long Island, NY) PLEASE TAKE NOTICE that a meeting of the Board of Directors of Suffolk Tobacco Asset Securitization Corporation will be held at the offices of the Suffolk County Executive, located at 100 Veterans Memorial Highway, Hauppauge, New York on the 2nd day of March, 2012 at 10:00 a.m., for the purpose of authorizing the issuance of the Series 2012 Bonds; approving the form, execution and delivery of the Indenture and the Purchase and Sale Agreement; ratifying and authorizing the Preliminary and Final Offering Circulars; authorizing the execution and delivery of the Bond Purchase Agreement; authorizing the creation of the Residual Trust and the Escrow Trust and the delivery of the Residual Certificate; providing for the selection of trustees; and authorizing officers of the Corporation to perform acts for the purpose of carrying out the contemplated transactions and transacting any other business as may come before the Board of Directors at such meeting.
